Graham Simmons, a member of the firm’s Management Committee and Co-Chair of the Business Law Practice Group, is a business and real estate lawyer. In his practice, Graham has served both public and private sector clients on all types of M&A transactions, commercial and syndicated credit facilities, economic development projects, real estate transactions, leases, and land use and zoning matters. Graham has represented clients across a diverse spectrum of industries and is deeply experienced in the banking and financial services, health care, construction and real estate development, economic development, and automobile dealership industries. Graham’s passion is to partner with small entrepreneurs and the middle market, whether serving as their everyday outside general counsel or helping to chart a business exit strategy. Graham has also been proud to represent the public and private sector in numerous economic development projects across the region and has particular expertise and experience in the Allentown Neighborhood Improvement Zone and the Bethlehem City Revitalization & Improvement Zone. He also serves as Solicitor to the City of Easton Parking Authority.
Graham has been recognized in Philadelphia Magazine as a Rising Star, a distinction for lawyers ages 40 and under or who have been practicing for less than 10 years and reserved for no more than 2.5% of all attorneys in Pennsylvania. He has been honored by Lehigh Valley Business as one of their annual Forty Under 40, which recognizes young professionals who exhibit talent and promise and have a well-documented track record of achievements in business. Graham is an active member of College Hill Presbyterian Church and is currently the Board Chair for the State Theatre Center for the Arts in Easton. He is a past member of the Board of the Greater Valley YMCA and of the Greater Easton Development Partnership, where he served as Chairman.

Lead counsel to 10+ financial institutions in connection with a $325,000,000 syndicated credit facility secured by real estate and qualified tax revenues in Allentown, Pennsylvania’s Neighborhood Improvement Zone.
Represented the owners of a real estate development company in the $12,000,000 sale of the company in a two-step transaction in which the management platform was sold through an asset purchase arrangement, and the real estate ownership holdings were sold through a membership interest purchase arrangement.
Represented the owners of an ambulatory surgery center (ASC) in the $4.2 million sale of a majority interest in the ASC to a management company based in Tennessee.
Represented a major developer of medical office buildings in the development of several on-campus and off-campus $15-$20 million projects involving ground lease arrangements, as well as single and multi-tenant projects.
Served as special counsel to the Redevelopment Authority of Easton Pennsylvania in connection with the creation of a condominium regime, as well as master development arrangement and sale of units for the Simon Silk Mill, which is now owned and managed by an affiliate of VM Development Group.
Represented the Easton Parking Authority in the development and construction of the South Third Street parking garage and intermodal transportation center, a project that utilized RACP funds from the Commonwealth of Pennsylvania, as well as a grant from the Federal Transit Administration.
Represented auto dealer in the $5,000,000 acquisition of an existing Hyundai franchised sales and service business.
Graham has also served as lead bank counsel for several credit facilities both in Allentown’s Neighborhood Improvement Zone and Bethlehem’s Community Revitalization and Improvement Zone.
