Victor S. Elgort Speaks About Entity Selection for Small to Medium Sized Businesses

Bridgewater, NJ (December 11, 2012) – Victor S. Elgort, a Member of the Bridgewater-based law firm Norris McLaughlin, P.A., will speak at “LLC or Inc.? Entity Selection for Small to Medium Sized Business,” a one-day course presented by the National Business Institute on Tuesday, December 18, at the Bally’s Atlantic City, and Wednesday, December 19, at the Holiday Inn in Cherry Hill.

The course is designed for attorneys, CPAs and accountants, tax professionals, financial planners, and enrolled agents. Panelists will offer a detailed comparative analysis of the most popular business entity organizational structures to enable professionals to advise their clients on the best business match for their situation, clearly distinguishing between various types of LLCs, corporations and hybrids. They will also cover the following: the impact of “check the box” income tax regulations when forming a business entity; sample formation documents; utilizing tax benefits with an understanding of how LLCs are taxed as pass-through entities; organizing all the tax-saving, liability-limiting, estate-planning tools into a comprehensive business structure packet for a single business owner; the S Corporation and its advantages; the process of conversion to an LLC; and the legal pitfalls of doing business across state and country borders. A resident of Belle Mead, Elgort is a senior member of the taxation and business groups at Norris McLaughlin. His practice concentrates on business tax planning matters, including the structuring of partnerships and joint ventures, executive compensation, and domestic and international estate planning matters.

Elgort organized and created the first limited liability company in New Jersey and wrote the standard form operating agreements and other documents published by Julius Blumberg, Inc., for limited liability companies. He is a member of the New Jersey State and American Bar Associations, the American Intellectual Property Law Association, the Computer Law Association, and is a Fellow of the American College of Trust and Estate Counsel.

Elgort received his undergraduate degree with honors from Rutgers University, his J.D. with honors from Cornell University, and his LL.M. in Taxation from New York University. He is a frequent lecturer at business planning, tax structuring and technology courses, including continuing education seminars. Elgort is included in the Trusts and Estates Section of The Best Lawyers In America.
